This offering presents a unique opportunity to own two iconic and world-wide known consumer electronics brands that are universally recognized by consumers. Circuit City® and CompUSA® were two of the pioneers in the mass expansion of the retail consumer electronics industry.

The worldwide brand recognition creates an opportunity in categories across a broad range of consumer electronics and computer offerings, such as:

• Brick & Mortar Retail in the US and worldwide (owned, franchised and/or licensed)

• “Store-within-a-store” at a major retailer

• Online Internet Retail Sites

• Consumer Electronics Kiosks at airports, convenience stores, malls and other high traffic locales • Web Portals for consumer product information & computer tech assistance

• Branding of Consumer Electronics, computers, and accessories

Circuit City® Background

Circuit City was an American and worldwide consumer electronics retailer. It was founded in 1949 and pioneered the electronics superstore format in the 1970s. It specialized in brand-name consumer electronics, personal computers, entertainment software and large appliances.

At the time of its liquidation in 2009, Circuit City was the second largest U.S. electronics retailer in the world with 567 Circuit City Superstores nationwide, ranging in size from 15,000 to 45,000 square feet as well as a robust online business through its website. At its peak, Circuit City boasted annual sales of more than $11 Biilion, including a strong online platform.

The Circuit City brand was bought by Systemax in 2009 through a chapter 11 bankruptcy auction. Systemax, which owns and operates the highly respected Tiger Direct retail business, maintained the brand as an online retailer under the domain. The online store maintained its own independent presence until the website was re-directed to Systemax’s TigerDirect site. During the time it was owned by Systemax the domain experienced consistent user traffic in the tens of millions annually.

CompUSA® Background

CompUSA was a retailer and reseller of consumer electronics, technology products, and computer services. CompUSA was a leading operator of computer superstores in the United States, with more than 200 stores in 84 major metropolitan markets offering more than 5,000 products, including microcomputer hardware, software, accessories, and related items.

The company's operations also include direct sales to corporate, government, and education customers. CompUSA superstores, each of which had approximately 25,000 square feet of retail space, offered technical support to their customers, repair and service of merchandise, built-to-order desktop and notebook personal computers and training centers. CompUSA also sold its products on the internet through its online store.

In Januray of 2008 Systemax purchased 16 retail locations and other company assets including the trademarks, e-commerce business, and technical services. Systemax continuously maintained CompUSA as an online internet retailer of computers and related accessories. Additionally, in 2008 Systemax announced that 11 of its TigerDirect® branded stores would be rebranded as CompUSA® retail locations. Over the next 3 years TigerDirect and CompUSA were cobranded on Systemax’s TigerDirect retail locations which grew, at their height, to 43 stores. As part of Systemax’s branding consolidation, all CompUSA stores are being changed over to TigerDirect and traffic has been redirected to the TigerDirect site. During its run with Systemax, the CompUSA stores generated significant sales and the site generated consistent traffic of tens of millions of annual visitors.
