Acquisition Opportunity

Anacail Limited (in Liquidation)

On behalf of Ian Wright and Scott Milne of WRI Associates Limited, the Joint Liquidators of Anacail Limited (in Liquidation) (“Anacail” or the “Company”), Hilco Streambank is seeking offers to acquire certain assets of the Company.

Initially designed for food retailers and manufacturers dissatisfied with the losses incurred from the wastage of spoilable food products, Anacail produced a novel Ozone-generation technology that can be used to sterilise the inside of packaging and lengthen the shelf-life of a variety of fruit products by more than a week. Unlike the majority of currently available approaches for the cleaning and sterilisation of foods, Anacail’s technology can non-invasively generate sterilising Ozone inside sealed containers and packaging . The product can be used to generate a wide range of Ozone concentrations for broad-spectrum sterilisation in a controlled, safe, and fast way. The Company was also developing Ozone generating prototypes for application to other unmet needs in the areas of hygiene and healthcare.

Anacail was spun-out of the University of Glasgow in 2011 and has since led the way in pioneering new uses for Ozone. Over £6m has been invested in the development of its Ozone generation technology. The Company had sold multiple Ozone machines and had successfully collaborated with two UK supermarket chains to generate data supporting the effectiveness of its technology in food supply. A three week trial suggested significant cost savings could result for retailers as a result of the product’s use.

Broadly, identified applications of Anacail’s technology extend to three areas within Food Supply, Hygiene, and Medical Care.

Food Supply Applications

According to WRAP’s estimate compiled by the Food and Agriculture Organization of the United Nations, approximately one-third of all food produced in the world is lost or wasted. Experts believe that in the UK this equates to greater than £20bn worth of food waste annually.

A significant proportion of this loss occurs before products reach the end-consumer. Anacail’s evidence suggests that around 10% of certain soft fruit products are discarded as part of usual practice within UK supermarkets. Measures currently used to reduce product spoilage have limitations: washing delicate products can result in bruising and water-damage; cleaning agents can be detrimental to product taste and are not appropriate for some foods.

The use of Ozone to sterilise product packages presents a novel solution to food wastage. Evidence generated by a trial of Anacail’s patented Ozone sterilisation product in a major UK supermarket chain suggested that a 1 second treatment with Anacail’s product resulted in a longer average shelf life per treated pack across a number of products, an average reduction of 80% in food waste, and a £40k saving to the supermarket after a trial of just three weeks.

Anacail’s Ozone machine has been designed to integrate with existing supermarket supply chains, and is capable of treating approximately 120 packs per minute. Data has been generated from a controlled, blinded trial of the product on over 500,000 packs in partnership with a major UK supermarket chain.

Hygiene Applications

Anacail’s Ozone product can be harnessed to use the power of Ozone to eliminate health threats more broadly within the food supply chain. Recently, a number of outbreaks of Listeria contaminated food have occurred due to the aerosolization of Listera from contaminated drains at food processing and manufacturing sites. The US FDA report that Listeria infections result in 90% of patients arriving in A&E and 20-30% mortality, making this a significant unmet need in human health and a major cost for the 5,000 food processing sites in the UK that would benefit from assurance that their drains are Listeria free.

Biofilm and Listeria destruction by Ozone is well documented. Anacail has designed a second generation mobile Ozone prototype that can be wheeled into position over a drain. This product seals off the drain from the atmosphere, generating a high concentration of Ozone that sinks into the drain and destroys Listeria. The Ozone then naturally degrades into innate Oxygen.

Medical Applications

Increasing complexity and the growth in minimally invasive surgery is driving the need for new sterilisation methods within healthcare. There are disadvantages with many of the methods currently employed: steam and chemical agents are unable to be used on moisture sensitive kits, and methods such as Ethylene Oxide and Hydrogen Peroxide are extremely toxic. Gamma rays damage many polymers and electronics. Anacail’s Ozone solution is envisaged as a chemical, heat and moisture-free, facilitating an end-of-product-line solution that is safe to keep and ready to use. The Company has developed a laboratory prototype in relation to the medical applications of its technology.
