Acquisition Opportunity

Hilco Streambank is seeking offers to acquire the business and assets of Digi.me Limited (“Digi.me” or the “Company”), provider of a world-leading personal data platform which enables businesses and individuals to access higher quality personal data than has been previously available, privately, securely and with consent.

September 10, 2021 @ 12pm BST

The Company is headquartered in Farnham, Southern England, and has raised a total of £25m in investment to date. The Company’s investment has largely been used to develop the digi.me platform: a human-centric platform that sources data directly from the individual in a similar way to the Yodlee and Plaid platforms but covering all data categories including health, finance, social, entertainment. The Digi.me platform is in the early stages of revenue generation, with a strong sales pipeline for the coming months and a number of high value contracts close to agreement.

Digi.me also utilises the Jet platform, which manages the issues of data being in numerous formats and could be purchased separately. It is considered that this software will be of interest to any firms dealing with large amounts of data, particularly consultancy businesses and large accountancy practices. The tech team required to operate this part of the business comprises two members of staff, both located in Sarajevo in Bosnia.

Management advise that the business has great potential, with buyers having the opportunity to acquire ready-made digital platforms with significant investment, and turn the business to profitability within a matter of months once major contracts are secured.

Digi-me also owns Consentry, which is a unique COVID-19 private digital health pass mobile application that digitises lateral flow tests taken by the individual at home and provides a QR code within 15 minutes. The app assists in managing the risk of COVID-19 for returning to work, education, travel, leisure and events, and could be purchased separately from Digi.me.

The Consentry application has undergone development costs of circa £1.5m, and in conjunction with Digi.me is authorised to handle medical data in the US, UK, Iceland and Netherlands to provide COVID-19 data services globally.

The Company is in advanced discussions with international governments for the deployment of Consentry, and Management expect developments in this regard imminently given the current global political landscape and the demands of governments to manage COVID-19. There are currently a number of tenders in circulation and it is envisaged by Management that within a matter of months, Consentry could be generating in excess of £100k in monthly revenue. The application could prove a lucrative opportunity as part of the overall Digi.me sale, or standalone. One project manager and four app developers currently develop/operate the Consentry platform.

Marketing Intangibles

  • Brand Goodwill - the Company has pitched to and is in discussions with major international companies and governments for use of its products, and the Company’s brands (Digi.me & Consentry) are well-known in the data privacy space as a result.
  • Trade Marks - available to view here.
  • Branded Websites - the Company maintains professional websites for its products hosted at https://digi.me and https://consentry.com.
  • Domain Names - available to view here.
  • Social Media Accounts - the Company manages corporate social media accounts on Facebook, Twitter, YouTube, and Instagram with circa 10k cumulative followers.

Bespoke Software

  • Digi.me Platform - the Company’s primary data privacy platform, developed as a result of c.£23.5m in investment.
  • Jet Platform - a data formatting tool that is used within the Digi.me platform, but is also available for sale as a standalone.
  • Consentry Application - a COVID-19 digital health pass mobile application with product development costs of c. £1.5m to date, that could be purchased standalone from the primary Digi.me business.

Patents

The Company has filed patent applications with the intent of adding further protection to its Digi.me platform, as detailed here.

Customer & Lead Data

The Company has built a comprehensive sales pipeline with major agreements due to be signed with international players. More information on the Company’s sales pipeline can be discussed over a call with Management.

Leases

A leasehold office premises in Farnham, held for a term of 5 years from September 2020 at a passing rent of £28,800 pa. An additional premises is held in Sarajevo.

Office & IT Equipment

A volume of office furniture / equipment and IT equipment located at the Farnham office and off-site with remote workers.

Work in Progress and Pipeline

The current contracts that are in place and producing income, along with the significant pipeline of work, with a response awaited on various high value tenders.

Offers for the intellectual property assets are due September 10, 2021 @ 12pm BST
