Hilco Streambank has been appointed by Ben Woolrych and Anthony Collier of FRP Advisory LLP as the Joint Administrators of Gaia Technologies Plc (in Administration) (the “Company” or “Gaia”) to actively seek interested parties with regards to the sale of the business and assets of the Company.

Business Background

Gaia is a UK-based supplier of ICT products and services, primarily into the education sector. The Company has over 25 years of experience in providing specialist ICT solutions to schools, colleges and universities and supports over 500 schools. Gaia is one of only 21 accredited companies working within the Education Technology Framework. Its two key revenue streams are Managed Services and New Build Projects. Other services include support services, sale of hardware and 3D software sales.

The Company has experienced significant growth in the last five years, and generated revenues of over £19m for the last financial year. The Company employs circa 130 full-time staff and operates from freehold premises in Bangor, North Wales but a large proportion of the workforce operate on sites at locations nationwide.

New Build projects involve the design and installation of school’s ICT equipment and infrastructure. Managed Services offer the design, installation and maintenance of ICT equipment on a 5 year lease rental/service contract. There are circa 250 contracts.

Gaia’s innovative software and content comprise of mobile and PC based applications, curriculum material, and a catalogue of 3D models and animations, which have been developed for and in partnership with primary, secondary and university educational institutions. As well as generating revenue via pure software sales made throughout the UK and internationally, Gaia’s proprietary software has been instrumental in supporting the Company in tendering for and winning work for the provision of Managed ICT services into the public sector, differentiating Gaia from competitors.

Gaia 3D – Gaia 3D is a fully interactive learning environment that provides a window into an extensive library of syllabus-specific 3D content designed to enhance student engagement and participation. The software is available in 12 languages, with the Gaia Library containing more than 6,000 models and a range of content designed for primary, secondary and university education. The Company has invested over £3m in the development of its proprietary viewer software and substantial library of immersive 3D content.

Primary Science 3D – A library of over 500 fully interactive, high quality models and animations designed to engage and inspire pupils, encourage excitement and curiosity about the world around us. The software is designed to combine 3D visual learning with project and enquiry-based learning, to be used as part of the National Curriculum Science Programme of Study for Key Stages 1 and 2.

Primary Computing Framework – The Gaia Primary Computing Framework is an electronic practical guide for schools to plan and deliver structured and progressive computing lessons that ensure pupils develop a high level of computing knowledge and skill by the end of Year 6.

Animates – Gaia Animates incorporates a complete, web-based software solution operating on a highly secure closed network, featuring live, animated characters to aid communication and content delivery to young children, particularly reluctant learners and those with special educational needs. The product has been Beta tested and been well received by prospects including the NHS and National Society for the Prevention of Cruelty to Children.

Construction Site – This windows software package brings the world of construction into the classroom in a realistic and engaging way. Designed to support the teaching and learning of construction courses (BTEC, City and Guilds, NVQ etc.), the content has been developed in conjunction with professionals and educators, to address the challenges faced in delivering fully rounded construction experience for students.

AR/VR Apps and Impact Projects - As Gaia has been developing 3D content for more than 13 years, it stores an extensive library of content that has come about from work in the Education and Commercial sectors. The Company has more than 30 distinct project applications as a result of these collaborations. Examples include “Gaia Teen Mind” a Health & Wellbeing app containing a package of learning materials which was awarded under the BETT 2019 awards in the Impact category, and “Scratch” an app designed to lead students in the creation of completely new scripts that simulate pedestrian behaviour at a crossroads. Bespoke work has also been undertaken for commercial clients, such as Jaguar Landrover, Siemens, and Fujitsu, with these projects frequently incorporating Virtual or Augmented Reality elements.

Gaia’s name and reputation in the marketplace is of significant intangible value. Gaia is one of the leading providers of specialist ICT solutions particularly to the education sector across the UK. Gaia focuses on providing viable and innovative technical solutions to schools, educational establishments and their surrounding communities, leveraging an entrepreneurial and innovative approach. 

The Company was one of twenty companies on the UK Department for Education approved ICT services suppliers’ (formerly Becta) framework. It is one of only five companies to have been included on each Becta framework since the framework was released in 1998.

Founded in 1992, Gaia has established long-standing customer relationships and is relied on as a critical service provider. Gaia prides itself on its perception in schools as ‘the teacher’s friend’ and this positioning has supporting its success in direct selling to schools outside the Department for Education framework.

Brand awareness extends internationally. Gaia launched its 3D software in 2013 both within the UK and the USA. Growing sales are notable in China and Russia amongst other countries.
