Ben Woodthorpe and Simon Jagger of ReSolve Advisory Limited as the Joint Administrators of Rosnes Limited (in Administration) and its subsidiary Smartlifeinc Limited (in Administration) (together "Smartlife" or the "Companies") have appointed Hilco Streambank to solicit offers with regards to the sale of the Smartlife assets, including the Companies' extensive wearable technology-related intellectual property assets.

Smartlife aims to become the leading innovator in accurate, comfortable, discreet and cost-effective wearable technology that reveals actionable insight from accurate biometric information. The Companies were incorporated in 2010 and are based in Manchester, with the business and initial intellectual property originally having been born out of a research project with the University of Manchester. Smartlife has retained strong links with leading UK universities. The Companies' focus has been on developing next generation patented and externally validated wearable technology, approaching commercialisation. The technology has applications across various high value markets, including Sports, Health & Wellbeing, Industrial, Military & Blue Light, and Medical. The core technology, in advanced stages of development, is comprised of: patent-backed textile sensors integrated into a garment which accurately detect biophysical signals; a compact and lightweight electronic brain which sits in a discreet pocket on a garment to process and extract data; a mobile app powered by a library of data analysis algorithms. 

Over £2m of investment has been received to date. Significant expenditure has been made in R&D activities including patenting, garment development and prototyping. Revenue has been generated from grant income and sample sales.

Smartlife Brand

The Smartlife brand has been established since circa 2004. Smartlife is well known and highly regarded in the industry. It has been recognised as one of the Top 100 Tech Companies in Greater Manchester.

The brand and technology has been promoted via the Companies' attendance at various trade shows and advanced discussions with potential commercial partners.

Trade Marks

The Smartlife corporate brand name as well as further technology and product brands, including "Smartlife HealthVest", "SureWear", "EZG" and "Kardiosmart", are protected by numerous trade marks registered in key territories. A trade mark schedule is available on request following signing of a NDA. 


Textile Sensors

Smartlife has developed patented textile sensors which can be integrated into garments, such as a t-shirt, vest or bra. The sensors detect bioelectrical signals from the body including electrocardiogram and surface electromyogram.

Electronic Brain

Smartlife is in advanced stages of developing and refining a discreet electronic brain which runs advanced algorithms. These algorithms process raw data received from the textile sensors into meaningful output in various forms including heart rate and muscle contraction. The electronic brain transmits information to a receiving device via Bluetooth. The electronic brain is comprised of hardware and software elements developed in-house.

Mobile App

Smartlife has developed a demonstration mobile app, produced by third party developers. Data is to be transmitted from the electronic brain via Bluetooth to the mobile app on a smart phone or watch. The App then displays actionable insights about health and performance, readable in real time from textile sensors.


The Companies' unique technology is protected by a suite of patents. The Companies' patent portfolio consists of 50 granted and pending patents across a number of patent families including those entitled "Contact Sensors", "Knitted Transducer Devices", "Knitting Techniques", "Linear Electronic Transducer", "Smart Wearables" and "Smart Bandage". 

International coverage is provided with protection in over 20 global territories.

The Companies' patents primarily relate to unique features of the Smartlife Textile Sensors, including the structure of the sensors and how they are kitted into yarn as well as their raised architecture. A patent schedule is available on request following signing of a NDA.

Proprietary Know-How & Organisational Knowledge

A significant element of proprietary know-how inherent in the technology and products in development provides additional protection. Know-how has been documented and is treated as a trade secret of the Companies. Organisational knowledge includes specifications.

The Joint Administrators act as agents of the Companies and without personal liability.

The bidder acknowledges that Hilco acts as an agent for the Joint Administrators who offer for sale only what is right, title and interest (if any) the Companies possesses in assets. Such sale will be without any warrants, expressed or implied.

The information provided has not been verified by Hilco or the Joint Administrators and bidders are deemed to have carried out their own due diligence of the assets.
