On behalf the Proposed Administrator, Paul Davis at MHA MacIntyre Hudson, Hilco Streambank is seeking offers to acquire the business and assets of Spectrecom Films Limited (“Spectrecom” or the “Company”).

Background

Spectrecom is the UK’s largest independent film studio facility and production company. Originally formed in 2004, the Company is based at its three sound stage complex in Kennington, London.

A combination of studio rental and production forms the basis of Spectrecom’s business model. The Company’s services cover all aspects of film production – from studio hire to booking out its crew and/or post-production teams, and collaborating with both agencies and brands to produce online video content, promotional films and television advertising. Previous major collaborations include video production for Barclays, Avon Cosmetics, Cos, M & C Saatchi and Skittles, along with sponsorship films supporting the London Olympics 2012. Spectrecom’s work is widely recognised within the film production industry. Spectrecom has received 21 industry awards, including a Silver Dolphin for Best Informational Film at the Cannes Corporate Awards, and Gold within the Social Film category at the EVCOM Screen Awards.

The Company’s business model is distinct from many other video production companies in the industry. Because the Company operates its own film studios and employs its own full time filmmakers, it is able to provide an end-to-end service under one roof; from idea conceptualisation and internal content creation through to video production and project delivery.

Financial Details

Spectrecom accounts for 2018 included additional revenue from Studios builds and Television production. These activities ceased at the end of 2018 and no longer form part of the revenue stream for Spectrecom. The higher video production sales in 2018 were mainly as the result of a large project for M&C Saatchi.

High-end film production equipment - Various hardware, fixtures and fittings, including high-end video, sound and production equipment.

Intellectual Property Assets - Intellectual property assets available for sale include the Spectrecom brand, the Company’s extensive digital media archive, software licenses, domains, website content and social media assets.

Sale Process

Offers are due 17 September 2019 at 4 p.m. BST.

Key Terms & Conditions

The bidder acknowledges that Hilco acts as an agent for the Proposed Administrator who offer for sale only what right, title and interest (if any) the Company possesses in the assets. Such sale will be without any warranties, expressed or implied.

A non-refundable deposit of 20% will be payable by the buyer within 48 hours of bid acceptance. VAT, if applicable, at 20% will be added to the price.
